КОНТРАКТ НА КУПЛЮ-ПРОДАЖУ ТОВАРА (АНГЛ.)

Company _________________________, hereinafter referred to as the Sellers, on the one hand, and company _______________________________, hereinafter referred to as the Buyers, on the other hand, have concluded the Present Contract on the following:
1. SUBJECT OF THE CONTRACT
The Sellers has sold and the Buyers has bought goods in accordance with Annex ___ to the Present Contract on the terms of ________________________.
2. PRICE AND TOTAL AMOUNT OF THE CONTRACT
The price is to be understood as ___________________________.
Th total amount of the Present Contract is ______________________ (________________________) _____________, including cost of delivery - _________ (_____________________________) _______________.
3. TIME OF DELIVERY
The goods should be delivered within ___ (_______) after the date of signing the Contract. The date of delivery is considered to be the date of transferring goods to a removal man.
4. PACKING AND MARKING
The goods are shipped in carton boxes with marking showing the place of destination, gross and net weights.
5. PAYMENTS
The Buyers should make payment within ___ (__________) calendar days from the date of goods dispatch by bank transfer on the Sellers" account.
6. DELIVERY AND ACCEPTANCE OF GOODS
The equipment should be considered as accepted by the Buyers if it is not claimed for replacement on quality and quantity the goods within ___ (________) days from the date of receipt.
7. ARBITRATION
All disputes and differences that may arise from the Present Contract or in connection with the same Contract are to be referred to _____________ Arbitration Court.
8. FORCE-MAJEURE
Should any circumstances arise which prevent complete or partial fulfillment by any of the Parties of their respective obligations under the Present Contract, namely: fire, acts of the elements, the time stipulated for the fulfillment of the obligations shall be extended for a period equal to that during which such circumstances remain in force.
Should the above circumstances continue to be in force for more than ___ (________) months, each Party shall have the right to refuse any further fulfillment of the obligations under the Contract and in this case neither of the Parties shall have the right to make a demand upon the other Party for the compensation of any possible losses.
The Party for whom it becomes impossible to meet their obligations under the Present Contract, shall immediately advise the other Party as regards the beginning and the cessation of the circumstances preventing the fulfillment of their obligations. Certificate issued by the respective Chambers of Commerce shall be sufficient proof of such circumstances and their durability.
9. OTHER TERMS
All expenses and duties namely: customs duties, taxes collected on the territory of the Russian Federation are to be paid by the Buyers, and those outside the above mentioned territory to be paid by the Sellers.
After signing the Present Contract all preceding negotiations and correspondence pertaining to the same Contract become null and void.
The present contract is made up in the Russian and the English languages and both texts are authentical.
All Annexes to the Present Contract are its integral part.
